Universal Creator Agreement

Version 1.3 — Electronic Execution Edition · Effective on electronic acceptance

The full agreement is reproduced below. You execute it in the creator onboarding form: fill in your legal details, review the text, affirm the consent statement and submit. ISL records its electronic countersignature automatically and emails you an executed copy.

Execute electronically

Sign in, complete the onboarding form, and receive your executed copy in under two minutes. No printing, scanning or emailing a PDF.

The PDF is the paper-edition reference copy. Where it refers to a cover sheet, a scanned signature or an ISL countersignature, Part 11 (Electronic Execution) below governs your clickwrap acceptance: submitting the onboarding form is your signature, and ISL countersigns automatically in the same execution record.

Preamble

This Universal Creator Agreement ("UCA", "Agreement") is entered into between Indie Spotlite Social Media Services — Doing Business As IndieSpotLite of 71 Pinewood Drive, Olton Road, Arima, Trinidad, West Indies ("ISL", "we", "us", "the Platform") and the individual creator who accepts it ("Creator", "you"). By accepting, you affirm your commitment to authentic, human-created work and ISL affirms its commitment to your economic dignity and creative sovereignty.

Part 1 — The Three Golden Rules (Public Promise)

1. Your Work Is Yours.

ISL hosts and streams your media solely to deliver it to your audience. You retain full ownership, and no content will be used, sold, or licensed for AI model training without your explicit, separate, written, revocable consent.

2. Published, Fixed Splits.

You keep 90% of direct fan earnings, 85% of every ISL-facilitated brand deal, and — once advertiser onboarding launches — 70% (emerging markets) or 60% (mature markets) of ad revenue earned on your content.

3. Transparency by Default.

You will always know who viewed your profile, who shortlisted you, and every commercial term attached to any opportunity or payout.

Part 2 — Identity & Capacity

  • ▸You are at least 18 years old (or the legal age of majority in your jurisdiction, whichever is higher).
  • ▸You are the sole author of work you submit, or you hold all necessary rights and clearances.
  • ▸You are not bound by any conflicting exclusive representation, label, or platform agreement that would prevent you from honoring this UCA.
  • ▸You will keep your verified country of residence accurate; misrepresentation is grounds for termination.

Part 3 — Hosting, Streaming & Limited Licence

ISL stores and streams the videos, audio, and images you upload on zero-egress object storage. To do so, you grant ISL a non-exclusive, worldwide, royalty-free, revocable licence limited to: (a) storing and streaming your media to viewers you permit (public, subscribers, or buyers); (b) displaying thumbnails, titles, and metadata on ISL surfaces to promote your profile; and (c) once ad revenue is activated, placing advertising adjacent to your public content, with revenue shared under Part 5.

This licence grants ISL no ownership, no right to sublicense to third parties, and no right to use your media for AI training. You may change the visibility of, or delete, any item at any time; deletion ends the licence for that item and ISL removes it from storage within 30 days, except where retention is required by law or an unresolved dispute.

Part 4 — No AI Training (Expanded)

Without your separate, written, revocable, per-use consent, ISL will not, and will not permit any third party to:

  • ▸Scrape, ingest, or otherwise harvest your content for the purpose of training, fine-tuning, or evaluating any machine-learning model.
  • ▸Generate synthetic likenesses, voice clones, or stylistic imitations of you or your work.
  • ▸Resell, license, or otherwise transfer any dataset that includes your content to a third party for model-training purposes.
  • ▸Use your content as a reference, retrieval source, or grounding corpus for any generative AI system.

Consent, when granted, is bounded by the specific use, model, and term you approve, and is revocable at any time. Revocation halts future training and requires the counterparty to cease all forward use of your content for the consented purpose.

Part 5 — Creator Splits, Payouts & Disputes

All splits are calculated on gross amounts received, net only of third-party payment-processing fees. ISL earns from you in no other way.

Brand deals. ISL papers each brand deal under this UCA, collects the brand's funds before work begins and holds them pending milestone completion, then releases them against agreed delivery milestones. ISL's flat 15% facilitation fee is the only deduction.

Ad revenue. The ad-revenue split takes effect only when ISL activates advertiser onboarding and gives you at least 30 days' written notice. Region is determined at signing per the Geography Precedence policy; relocation changes your tier after a 90-day check (consented location checks + proof of old/new address).

Payouts are sent through PayPal Payouts (or a successor provider ISL notifies you of in writing) within 14 business days of cleared funds. Because buyers may dispute payments for up to 180 days, ISL may hold a rolling reserve of up to 10% of each payout for 180 days, and may recover any chargeback or refund from future earnings. Disputes must be raised in writing within 60 days of the payout date; ISL will acknowledge within 5 business days and resolve within 30.

Part 6 — Content Standards

You agree not to upload, host, or distribute through ISL any content that:

  • ▸Is illegal in your jurisdiction or in Trinidad & Tobago (ISL's seat of business).
  • ▸Depicts or sexualizes minors, or features identifiable minors without verified guardian consent.
  • ▸Is non-consensual intimate imagery, or impersonates a real person without authorization.
  • ▸Was generated wholly or substantially by AI and presented as human-made (undisclosed synthetic media).
  • ▸Promotes, incites, or threatens violence, terrorism, or targeted harassment against any person or group.
  • ▸Infringes the intellectual property, privacy, or publicity rights of any third party.

ISL may remove or restrict hosted content that breaches these standards, with notice and the reason given to you.

Part 7 — Brand-Side Mirror Obligations

Brands operating on ISL are bound by a parallel agreement that prohibits:

  • ▸Off-platform poaching or circumvention of ISL's payment-handling and fee structure.
  • ▸Using delivered creator assets to train, fine-tune, or ground any AI system.
  • ▸Sharing creator contact details, rate cards, or unreleased work outside the engaged team.

Part 8 — Data Transparency, Export & Deletion

Our transparency promise covers profile views, shortlist events, brief contents addressed to you, video views, and all financial line-items tied to your account. You may export the full record at any time as JSON or CSV. You may request deletion of your account, hosted media, and personal data at any time; ISL will purge within 30 days, subject to retention required by law and financial records we are obligated to keep.

Part 9 — Versioning & Re-Consent

ISL records the version, content hash, timestamp, and IP address of each signature. When ISL materially amends this UCA, you will be prompted to review and re-sign before continuing to use paid features. Non-material edits are logged but do not trigger re-consent.

Part 10 — Governing Law, Disputes & Termination

This Agreement is governed by the laws of the Republic of Trinidad & Tobago. The parties will first attempt informal resolution by written notice; unresolved disputes after 30 days proceed to binding arbitration in Port of Spain under the Trinidad and Tobago Arbitration Act. If any provision is held unenforceable, the remainder stays in force.

Either party may terminate with 30 days' written notice. Upon termination:

  • ▸(a) outstanding direct earnings, released brand-deal funds, and any accrued ad revenue are paid on the next scheduled cycle, and wallet balances are remitted within 14 business days;
  • ▸(b) brand deals in progress are completed or refunded to the brand from held funds per their milestones, with the 85/15 split applied to any work delivered;
  • ▸(c) your content remains yours; ISL deletes your hosted media within 30 days of your request and retains no licence to it after exit;
  • ▸(d) buyers of exclusive content retain access to works they have already purchased until your media is deleted;
  • ▸(e) profile, earnings, and deal analytics remain available for export for 90 days;
  • ▸(f) the Certified Human badge is retired from public display.

Part 11 — Electronic Execution & Automated Countersignature

11.1 This Agreement may be executed electronically. When you complete the creator onboarding form, type your full legal name, affirm the consent statement and submit it, that submission constitutes your electronic signature and is legally binding as if signed in ink.

11.2 ISL executes this Agreement automatically at the moment of acceptance by recording its own electronic countersignature in the same execution record, identified as an automated ISL acceptance with a timestamp. No further countersignature, scanned copy or postal copy is required, and this Part supersedes any reference in earlier editions of this document to execution upon ISL countersignature.

11.3 The execution record contains your full legal name, creator/channel name, submission email, payout email, residential address, jurisdiction, IP address, timestamp, agreement version, agreement text version and a SHA-256 verification ID. A copy is attached to your confirmation email and can be downloaded at any time from your creator dashboard.

The ISL Master Platform Terms of Service & Privacy Policy (v2.0) are incorporated into this Agreement by reference and are available at /terms. Nothing in this electronic edition changes any commercial term: 90/10 direct earnings, 85/15 brand deals, and the geography-indexed 70/60 ad-revenue split.
